1. Parties and Acceptance
Felek és az ÁSZF elfogadása
These Terms of Service ("Terms") constitute a legally binding agreement between the legal entity operating the Depoflow platform ("Depoflow", "we", "us" or "Service Provider") and the individual or legal entity registering for or using Depoflow ("Customer", "you" or "Merchant").
A jelen Általános Szerződési Feltételek ("ÁSZF") jogilag kötelező érvényű megállapodást képeznek a Depoflow platformot üzemeltető jogi személy ("Szolgáltató") valamint a Depoflow-ra regisztráló vagy azt használó természetes vagy jogi személy ("Ügyfél" vagy "Kereskedő") között.
By creating an account, clicking an acceptance button referring to these Terms, or accessing Depoflow, the Customer agrees to these Terms.
A fiók létrehozásával, az ÁSZF-et elfogadó gombra való kattintással, illetve a Depoflow elérésével vagy használatával az Ügyfél elfogadja jelen ÁSZF rendelkezéseit.
2. Definitions

The Customer’s registered Depoflow account.

Information, content, configurations, and client information submitted through Depoflow.
A Depoflow-ba feltöltött vagy azon keresztül feldolgozott információk, tartalmak, beállítások és ügyféladatok.
An individual or business purchasing, booking or receiving services from the Customer.
Az Ügyféltől szolgáltatást vásárló, foglaló vagy vevő magánszemély vagy vállalkozás.
An authorization or payment mechanism initiated via a third-party payment provider to secure a potential future payment obligation.
Harmadik fél fizetési szolgáltatón keresztül indított engedélyezési vagy fizetési mechanizmus lehetséges jövőbeni fizetési kötelezettség biztosítására.
Documentation, records, timestamps, and transaction data assembled by Depoflow to assist with chargeback disputes.
A chargeback viták kezeléséhez a Depoflow által összeállított dokumentáció, nyilvántartás és időbélyeg-információ.
3. Description of the Service
A szolgáltatás leírása
Depoflow is a software-as-a-service ("SaaS") platform designed primarily for service businesses, aesthetic clinics, consultants, and salons that accept appointments or deposits.
A Depoflow egy szolgáltatásként nyújtott szoftver (SaaS) platform, amelyet elsősorban szolgáltató vállalkozások, esztétikai klinikák, tanácsadók és szalonok számára terveztek.
Depoflow is a software provider and is not itself a bank, credit institution, payment institution, or payment processor. Payment processing is handled by Third-Party Services such as Stripe.
A Depoflow szoftverszolgáltató, nem pedig bank, hitelintézet, fizetési intézmény vagy fizetési feldolgozó. A fizetési feldolgozást olyan harmadik fél szolgáltatók végzik, mint a Stripe.
4. Third-Party Services and Integrations
Harmadik fél szolgáltatások és integrációk
The Platform depends upon Third-Party Services including Stripe (payments), Google Calendar (calendar synchronization), and Clerk (authentication).
A Platform harmadik fél szolgáltatásaira támaszkodik, ideértve a Stripe-ot (fizetés), a Google Naptárat (naptár-szinkronizáció) és a Clerk-et (hitelesítés).
Depoflow shall not be responsible for failures, delays, API changes, outages, or restrictions of Third-Party Services.
A Depoflow nem vállal felelősséget a harmadik fél szolgáltatások hibáiért, késedelmeiért, API-változásaiért, leállásaiért vagy korlátozásaiért.
5. Eligibility and Business Use
Jogosultság és üzleti használat
Depoflow is primarily intended for business and professional use. The Customer represents that it has legal capacity and will comply with all applicable laws.
6. Account Registration and Security
Regisztráció és fiókbiztonság
Authentication and account management are provided via Clerk. The Customer is responsible for maintaining the confidentiality of its authentication methods and credentials.
7. Customer and Merchant Responsibilities
Ügyfél- és kereskedői kötelezettségek
The Customer remains solely responsible for its relationship with End Clients, including communicating booking terms, cancellation policies, refund conditions, and obtaining required legal consents.

Depoflow does not provide tax, accounting, legal, or financial advice.
8. Deposits and Payment Transactions

Depoflow provides technical functionality to manage deposit-related workflows through payment providers such as Stripe. Depoflow does not take ownership of Customer funds.
9. Chargebacks and Dispute Evidence
Chargebackek és vitatott tranzakciók bizonyítása
Depoflow generates Evidence Dossiers to assist the Customer in responding to payment disputes. An Evidence Dossier is an evidentiary assistance tool and does not guarantee a successful chargeback defense.
10. Calendar Synchronization
Naptár-szinkronizáció
Calendar synchronization depends on third-party APIs such as Google Calendar. Depoflow does not guarantee uninterrupted real-time synchronization.
11. Subscriptions and Fees
Előfizetések és díjak
Paid Subscriptions automatically renew at the end of each billing period unless cancelled. Failed payments may result in feature restrictions or suspension.
12. Refunds and Cancellation
Visszatérítés és lemondás
Except where required by mandatory applicable law, Subscription fees are non-refundable. Cancellation prevents future renewal.
13. Consumer Rights
Fogyasztói jogok
Where a Customer qualifies as a consumer under applicable Hungarian or EU law, mandatory consumer-protection provisions shall apply.
14. Data Protection and GDPR
Adatvédelem és GDPR
Personal data is processed in accordance with the GDPR and applicable Hungarian legislation. Depoflow acts as a data controller for its own purposes and as a data processor on behalf of the Customer where applicable.
15. Confidentiality
Titoktartás
Each party shall protect confidential information received from the other party and use it only for purposes connected with the contractual relationship.
16. Customer Data
Ügyféladatok
The Customer retains its rights in Customer Data and grants Depoflow a limited license to use such data to provide the Platform.
17. Intellectual Property
Szellemi tulajdon
Depoflow and its licensors retain all rights to the Platform, software, source code, and design.
18. Acceptable Use
Megengedett használat
The Customer must not use Depoflow for unlawful activities, fraud, unauthorized payment collections, or transmitting malicious code.
19. Service Availability
A szolgáltatás elérhetősége
The Platform is provided on an "as is" and "as available" basis to the maximum extent permitted by law.
20. Warranties and Disclaimers
Szavatosságok és kizárások
Depoflow makes no warranty regarding specific commercial outcomes, successful deposit collections, or prevention of chargebacks.
21. Limitation of Liability
Felelősségkorlátozás
To the maximum extent permitted by law, Depoflow's total aggregate liability shall not exceed the total fees paid by the Customer during the preceding 12 months, or EUR 100 if no fees were paid.
22. Indemnification
Kártalanítás
The Customer shall indemnify Depoflow against third-party claims arising from the Customer's unlawful use of the Platform or breach of these Terms.
23. Suspension and Termination
Felfüggesztés és megszűnés
Depoflow may suspend or terminate an Account for material breach, non-payment, or security risks.
24. Customer Data After Termination
Ügyféladatok a megszűnést követően
Following termination, Depoflow may retain data for legal, accounting, or security purposes in compliance with applicable laws.
25. Changes to These Terms
Az ÁSZF módosítása
Depoflow may amend these Terms with reasonable prior notice communicated through the Platform or via email.

Communications and support can be directed to support@depoflow.hu.
27. Governing Law
Irányadó jog
These Terms shall be governed by the laws of Hungary.
28. Jurisdiction
Joghatóság
Disputes arising from these Terms shall be submitted to the competent Hungarian courts.
29. Force Majeure
Vis maior
Neither party is liable for delays caused by circumstances beyond reasonable control.
30. Assignment
Átruházás
The Customer may not assign its rights without prior written consent. Depoflow may assign upon restructuring or acquisition.
31. Severability
Részleges érvénytelenség
If any provision is held invalid, the remaining provisions remain in full force and effect.
32. No Waiver
Jogról való lemondás hiánya
Failure to exercise a right does not constitute a waiver of that right.
33. Entire Agreement
Teljes megállapodás
These Terms constitute the entire agreement between the parties regarding the Platform.
34. Electronic Contracting
Elektronikus szerződéskötés
Electronic acceptance constitutes valid contract formation.
